Master Service Agreement (MSA)
Between Advanced Vision IT and the Client Organization

1. Parties
This Master Service Agreement (“Agreement”) is entered into between:
- Advanced Vision IT, operator of the Cisolead cybersecurity training platform
(“Service Provider”, “Provider”),
and - The organisation is purchasing access to the Cisolead services
(“Client”, “Customer”).
2. Purpose
This Agreement governs the delivery of cybersecurity leadership and CISO training services (“Services”) provided via the Cisolead platform.
3. Scope of Services
Provider agrees to deliver:
- Access to CISOLEAD training modules
- Certifications, assessments, and learning analytics
- Support and onboarding for Client users
- Optional enterprise features (if applicable)
Specific deliverables are defined in the Order Form or Statement of Work (SOW).
4. Client Responsibilities
The Client agrees to:
- Provide accurate user information
- Ensure users comply with the platform terms
- Protect login credentials
- Not copy, resell, or redistribute platform content
- Pay all agreed fees
5. Fees and Payment Terms
- Fees are defined in the Order Form
- Invoices are payable within 30 days
- Late payments may result in service suspension
- All fees are non‑refundable unless otherwise agreed
6. Confidentiality
Each party agrees to:
- Maintain confidentiality of all non‑public information
- Use confidential information only for fulfilling this Agreement
- Protect data with reasonable security measures
Confidentiality obligations survive termination.
7. Intellectual Property Rights
All platform content, tools, and materials remain the property of Advanced Vision IT.
The Client receives a non-exclusive, non-transferable, limited license to allow its authorized employees to access the training.
Nothing in this Agreement transfers ownership of intellectual property.
8. Data Protection & GDPR
Both parties agree to comply with GDPR and relevant privacy laws.
The formal Data Processing Agreement (DPA) is incorporated into this MSA.
9. Security
Provider implements:
- Encryption
- Access control
- Monitoring
- Industry-standard security measures
No system is 100% secure, but reasonable safeguards are in place.
10. Term & Termination
This Agreement:
- Begins on the date of signing
- Continues until terminated by either party with 30 days’ notice
- May be terminated for breach if not remedied within 15 days
Upon termination:
- Access to the platform is revoked
- Client data is returned or deleted, per the DPA
11. Warranties & Disclaimers
Provider warrants:
- The service will operate substantially as described
- Training quality will reflect industry best practice
Provider does not warrant:
- Uninterrupted availability
- Specific business outcomes or certification results
12. Limitation of Liability
Except for willful misconduct or data protection violations:
Provider’s maximum liability is limited to the amount paid by Client in the previous 1 month.
Provider is not liable for:
- Indirect damages
- Loss of profits
- Security decisions made based on training content
13. Subcontractors
Provider may use subcontractors such as hosting providers or analytics tools.
Provider remains responsible for their performance.
14. Governing Law
This Agreement is governed by the laws of Bulgaria, unless otherwise mutually agreed in writing.
15. Entire Agreement
This Agreement, together with the Order Form and DPA, constitutes the entire understanding between the parties.
